CALIFORNIA TRANSPARENCY IN SUPPLY CHAINS ACT

D'Addario & Company, Inc., and its subsidiaries who conduct business within California, including Rico Corporation, Inc. d/b/a D'Addario Woodwinds (collectively, "D'Addario"), recognize and support the California Transparency in Supply Chains Act ("the Act").

Effective January 1, 2012, the Act requires retailers and manufactures like D'Addario to make consumers aware of efforts to disclose measures used to track possible slavery and human trafficking in their global supply chains.

D'Addario's actions in this area consist of the following:

D'Addario maintains internal accountability standards and procedures for employees failing to meet company standards regarding slavery and trafficking. D'Addario's Code of Conduct holds personnel accountable for ensuring compliance and ethical standards in D'Addario's international business.

D'Addario maintains an ethics "hotline" that all personnel are instructed to use in the event violations of law or policies are suspected and/or detected. D'Addario provides periodic training to impacted personnel on understanding, detecting, reporting and preventing unlawful labor issues in the supply chain.

D'Addario's Code of Conduct and Ethics (“Code of Conduct”) is being amended to summarize the Act and set forth D'Addario's policy of enforcing and supporting the purpose of the Act. All of D'Addario's direct suppliers will receive a copy of the Code of Conduct upon completion of its amendment. A copy of the Code of Conduct may be obtained upon request through contact information below.

Senior supply chain managers in D'Addario have personally met with some of D'Addario's most critical OEM partners, and are committed to instilling ongoing cooperation in D'Addario's commitment against unlawful labor in its supply chain.

At this time D'Addario does not conduct independent, unannounced inspections of third party facilities in its supply chain. However, going forward, D'Addario is actively seeking opportunities to incorporate independent, unannounced audits into its compliance plan.

D'Addario remains committed to building the world's best musical instruments and accessories, in a way that helps, not hurts the people and communities involved in its business. We welcome your input on this important issue. Written requests from consumers for a copy of this statement, may be obtained by emailing us. Responses will be given within 30 days of receiving such request.
